Terms of Use
- These Terms of Use ("Terms") form a binding agreement between you and CGN American Tech Institute, a division of CGN Research World LLC, a Wyoming limited liability company ("CGN", "the Institute", "we", "us" or "our"), governing your access to and use of the website cgni.us, its learning portals, our courses and certifications, our assessment and proctoring services, and our corporate training and consulting engagements (together, the "Services").
- Please read these Terms carefully. By accessing the Website, creating an account, enrolling in a programme, registering for an examination, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy and Refund Policy, each of which is incorporated by reference. If you do not agree, you must not use the Services.
1. Definitions
- "Learner" means any individual who registers for, enrols in or participates in a course, programme or examination.
- "Client" means an organisation that engages CGN for corporate training, assessment or consulting services.
- "Content" means all material made available through the Services, including course materials, recordings, slides, question banks, assessments, software, datasets, templates, graphics and documentation.
- "User Content" means material you submit, upload or post through the Services, including assignments, projects, code, forum posts and feedback.
- "Programme Documentation" means the course description, syllabus, schedule, fee schedule and admission requirements published or issued for a particular offering.
2. Eligibility and Accounts
- You must be at least 18 years of age to create an account and contract with us directly. Learners under 18 may participate only where enrolled by a school, employer, parent or legal guardian who accepts these Terms on their behalf and remains responsible for compliance.
- You agree to provide accurate, current and complete information during registration and admission, and to keep it updated. Providing false, forged or misleading information — including falsified qualifications or identity documents — is grounds for immediate cancellation of enrolment or examination registration without refund.
- Accounts are personal and non-transferable. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately at support@cgni.us of any suspected unauthorised access.
- Account sharing, concurrent use of a single account by multiple individuals, and the use of automated means to access the Services are prohibited.
3. Enrolment, Fees and Payment
- Enrolment is confirmed only upon our written acceptance and receipt of the applicable fees or of an approved payment arrangement. Publication of a programme on the Website is an invitation to apply, not an offer capable of acceptance.
- Fees, instalment options, applicable taxes and payment due dates are as stated in the Programme Documentation or in the invoice or statement of work issued to you or your Client. Fees are quoted in United States Dollars unless expressly stated otherwise.
- You are responsible for all taxes, duties, bank charges, currency-conversion costs and payment-gateway fees associated with your payment, other than taxes on our net income.
- We may suspend access to Content, examinations, results or certificates where fees remain outstanding beyond the due date. Overdue amounts may attract a late-payment charge as stated in the applicable invoice, and we may recover reasonable costs of collection.
- Refunds, cancellations, transfers and deferrals are governed exclusively by the CGN Refund Policy.
- We may revise fees for future intakes at any time. A published fee revision does not affect a Learner already enrolled for the current intake at the previously confirmed fee.
4. Delivery of Programmes
- We will deliver each programme with reasonable skill and care and substantially in accordance with its Programme Documentation.
- We reserve the right to vary the schedule, delivery mode, venue, faculty, platform or sequence of a programme where reasonably necessary, provided that the learning outcomes and total contact hours are not materially reduced.
- We may postpone, reschedule or cancel a cohort that does not reach minimum viable enrolment, or where delivery is prevented by circumstances beyond our reasonable control. In such cases you may transfer to the next available cohort or receive a refund in accordance with the Refund Policy.
- Access to online Content is granted for the access period stated in the Programme Documentation. Where no period is stated, access continues for twelve (12) months from the cohort start date.
- Minimum technical requirements — including a supported browser, stable broadband connection, working webcam and microphone where required, and a suitable private testing environment for remote examinations — are your responsibility. We are not liable for failure to complete a programme or examination caused by your equipment or connectivity.
5. Assessment, Examinations and Proctoring
- Registration for an examination is subject to satisfying the stated eligibility and prerequisite requirements, payment of the examination fee, and compliance with the rules of the relevant certification or testing sponsor.
- You must present valid, unexpired, government-issued photo identification matching your registration name. Admission may be refused where identification is absent, illegible or inconsistent, and no refund is payable in that event.
- Examinations may be invigilated in person or remotely and may be monitored and recorded, including by video, audio and screen capture. By registering, you consent to such monitoring and recording as described in our Privacy Policy.
- Where you do not wish to be recorded, you must choose an in-centre examination option, if available, before registering.
- The following constitute examination misconduct: use of unauthorised materials, devices, software or assistance; impersonation or permitting another person to sit in your place; copying, memorising, reproducing, photographing or disclosing examination content; leaving the monitored environment without authorisation; permitting another person to be present during a remote session; and interfering with proctoring software or equipment.
- Where misconduct is suspected, we may suspend the session, withhold or invalidate the result, bar you from future examinations, notify the certification sponsor and, where applicable, your employer or sponsor, and revoke any credential already issued. Fees are not refundable in cases of substantiated misconduct.
- Results are released within the period stated for the examination concerned. Results may be reviewed, moderated or subjected to statistical verification before release.
- You may appeal a result or a misconduct finding by written notice to assessments@cgni.us within fifteen (15) days of notification, stating the grounds of appeal. Appeals are determined by a reviewer not involved in the original decision, and the decision on appeal is final within the Institute.
- Where an examination is delivered on behalf of a third-party sponsor, that sponsor’s appeal procedure applies and prevails.
- Requests for reasonable accommodations on the basis of a documented need must be submitted at least fifteen (15) days before the examination date with appropriate supporting documentation.
6. Certificates and Credentials
- Certificates, digital badges and transcripts are issued only where you have met all assessment, attendance and completion requirements and settled all fees in full.
- A credential issued by CGN certifies completion of the specific programme or examination named on it. It does not constitute a degree, licence, statutory qualification or professional registration, and does not guarantee employment, admission to any institution, recognition by any employer or authority, or credit transfer, unless expressly stated in writing.
- We may revoke a credential obtained through misrepresentation, misconduct or clerical error, and may notify affected parties of the revocation.
- You may not alter, reproduce or misrepresent a CGN credential, or use it to imply a scope of qualification, accreditation or endorsement that CGN has not granted.
7. Intellectual Property
- All Content is owned by CGN or its licensors and is protected by copyright, trademark and other intellectual-property laws. "CGN", "CGN American Tech Institute", the CGN logo and associated marks are the property of CGN Research World LLC.
- Subject to these Terms and to payment of the applicable fees, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the Content solely for your own learning during the access period.
- You must not copy, download (except where a download facility is expressly provided), record, screen-capture, republish, distribute, sell, licence, sub-licence, rent, publicly display, translate, adapt or create derivative works from the Content; remove proprietary notices; use the Content to build or train a competing product, course, question bank or machine-learning model; or use the Content for any commercial training or teaching purpose.
- You retain ownership of your User Content. You grant CGN a worldwide, royalty-free, non-exclusive licence to host, reproduce, display and use your User Content for the purposes of delivering, assessing, moderating and improving the Services, and — where you have separately consented — for promotional purposes.
- You warrant that your User Content is your own original work, does not infringe third-party rights, and does not contain unlawful, defamatory or malicious material.
- Claims of copyright infringement may be sent to legal@cgni.us with sufficient detail to identify the work and the allegedly infringing material. We will respond in accordance with applicable notice-and-takedown procedures.
8. Academic Integrity and Acceptable Use
You agree not to:
- plagiarise, fabricate or falsify work, collude improperly, or submit work generated by another person or by an automated tool as your own where its use has not been permitted;
- harass, threaten, defame, discriminate against or otherwise abuse any learner, staff member, faculty member or invigilator, whether in person, in class, on discussion boards, or by electronic means;
- upload malicious code, attempt to gain unauthorised access to any system or account, probe, scan or test the vulnerability of our infrastructure, or circumvent authentication, access controls, rate limits or digital-rights protections;
- scrape, crawl, harvest or bulk-extract Content, learner data or question banks by any automated means;
- use the Services in breach of any applicable law, export-control restriction, sanctions regime or third-party right;
- impersonate any person or misrepresent your affiliation with any person or organisation; or
- resell, sublicense or commercially exploit access to the Services.
We may investigate suspected breaches, and may suspend or terminate access, withhold or revoke results and credentials, and report conduct to law-enforcement or regulatory authorities where appropriate.
9. Corporate Training and Consulting Engagements
- Corporate engagements are governed by these Terms together with the applicable proposal, statement of work or training agreement. Where there is a conflict, the signed statement of work prevails over these Terms in respect of that engagement.
- The Client is responsible for the accuracy of delegate lists, for securing venue access and facilities where delivery is on-site, and for ensuring delegates comply with these Terms.
- Unless expressly agreed in writing, deliverables created for a Client are licensed, not assigned; CGN retains ownership of its pre-existing methodologies, frameworks, templates and know-how.
- Each party will keep the other’s confidential information confidential and use it only for the engagement, for three (3) years after the engagement ends, excluding information that is public, independently developed, or required to be disclosed by law.
- Postponement or cancellation of scheduled corporate delivery is subject to the notice periods and charges set out in the Refund Policy and the statement of work, together with non-recoverable travel and venue costs already incurred.
10. Third-Party Services and Links
The Services may integrate or link to third-party platforms, including learning-management systems, payment gateways, proctoring providers, video-conferencing tools and certification-body portals. Your use of those services is governed by their own terms and privacy notices. We do not control and are not responsible for the content, availability, security or practices of third parties, and inclusion of a link does not imply endorsement.
11. Availability and Changes to the Services
We aim to keep the Services available but do not warrant uninterrupted or error-free operation. We may suspend access for scheduled or emergency maintenance, security reasons or platform upgrades, and will give reasonable notice of planned downtime where practicable. We may add, modify, withdraw or discontinue any part of the Services, including individual programmes and features; where a withdrawal materially affects a programme you are currently enrolled in, Section 4.3 and the Refund Policy apply.
12. Disclaimers
EXCEPT AS EXPRESSLY STATED IN THESE TERMS AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
CGN makes no representation or warranty that participation in any programme will result in certification, employment, promotion, salary outcome, visa or immigration benefit, academic credit, licensure, or recognition by any employer, institution, regulator or authority. Any information we provide about third-party examinations, accreditation status or recognition is provided for guidance only and is subject to change by the relevant body. Nothing in the Services constitutes legal, financial, immigration, medical or other professional advice.
13. Limitation of Liability
To the fullest extent permitted by law, CGN, its members, officers, employees, faculty and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business, goodwill, opportunity, anticipated savings or data, however caused and on any theory of liability.
Our total aggregate liability arising out of or in connection with the Services, whether in contract, tort (including negligence), statute or otherwise, will not exceed the total fees actually paid by or on behalf of you to CGN for the specific programme or engagement giving rise to the claim in the twelve (12) months preceding the event giving rise to liability.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
14. Indemnity
You agree to indemnify and hold harmless CGN and its members, officers, employees, faculty and contractors from and against any claim, liability, loss, damage, cost or expense (including reasonable legal fees) arising out of your breach of these Terms, your User Content, your infringement of any third-party right, or your unlawful or negligent use of the Services.
15. Suspension and Termination
You may close your account at any time by written notice to support@cgni.us. Closure does not relieve you of fees already due, and refunds are governed solely by the Refund Policy.
We may suspend or terminate your access immediately, with or without notice, where you breach these Terms, where fees remain unpaid, where examination or academic misconduct is substantiated, or where required by law or by a certification sponsor.
On termination, your licence to access the Content ends immediately. Sections relating to intellectual property, disclaimers, limitation of liability, indemnity, confidentiality, governing law and dispute resolution survive termination.
16. Force Majeure
Neither party is liable for delay or failure in performance caused by circumstances beyond its reasonable control, including acts of God, natural disaster, fire, flood, epidemic or pandemic, war, terrorism, civil disturbance, strike, governmental action, embargo, sanctions, failure of utilities, internet or telecommunications infrastructure, or failure of a third-party platform. The affected party will notify the other promptly and will use reasonable efforts to resume performance, including by rescheduling affected delivery.
17. Governing Law and Dispute Resolution
- These Terms and any dispute arising out of or relating to them or to the Services are governed by the laws of the State of Wyoming, United States of America, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
- Before commencing formal proceedings, the parties will attempt in good faith to resolve the dispute by written notice to legal@cgni.us and, if not resolved within thirty (30) days, by a discussion between senior representatives of each party.
- Any dispute not resolved under Section 17.2 will be submitted to final and binding arbitration before a single arbitrator, seated in the State of Wyoming and conducted in the English language under the rules of a recognised arbitral institution agreed between the parties. Either party may nevertheless seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
- Disputes will be resolved on an individual basis. To the extent permitted by law, you waive any right to participate in a class, collective or representative action, and the arbitrator may not consolidate claims of more than one person.
- Nothing in this Section deprives a consumer of any mandatory right to bring proceedings in the courts of, or under the law of, their country of habitual residence where applicable law so provides.
18. Notices
Notices to CGN must be sent to legal@cgni.us and, where a postal notice is required, to CGN American Tech Institute, a division of CGN Research World LLC, [Registered Office Address], Wyoming, USA. Notices to you will be sent to the email address registered on your account and are deemed received on the day of transmission. You must keep your registered email address current.
19. General
- Entire agreement: These Terms, together with the Privacy Policy, the Refund Policy and any applicable Programme Documentation or statement of work, constitute the entire agreement between the parties and supersede all prior discussions and representations.
- Amendment: We may amend these Terms from time to time. The current version is always published at cgni.us. Material changes take effect fourteen (14) days after notice is posted or emailed; continued use after that date constitutes acceptance. Amendments do not retrospectively alter the fee or refund terms applicable to an enrolment already confirmed.
- Severability: If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in full force.
- No waiver: Failure to enforce any provision is not a waiver of the right to enforce it later.
- Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition or transfer of business.
- No agency: Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between the parties.
- Language: These Terms are made in the English language, which governs in the event of any translation discrepancy.
- Headings: Headings are for convenience only and do not affect interpretation.
